Home My WebLink AboutC2023-018 - Sponsorship Agmt_Optum Sponsor Name SPONSORSHIP AGREEMENT The Town of Fountain Hills Community Service Department respectfully submits this sponsor agreement for your support of the following events: Event Name Sponsor Level Event Location Event Date(s) Spooky Blast Presenting Sponsor Four Peaks Park October 29, 2022 Turkey Trot Platinum Sponsor Avenue of the Fountains November 24, 2022 Roll in the Glow Presenting Sponsor Avenue of the Fountains December 2, 2022 The term of this sponsorship agreement by and between the Town of Fountain Hills and Sponsor Optum is effective July 1, 2022-June 30, 2023. 1. Term. The term of this agreement is as stated above. All changes must be in writing and signed by each party. 2. Indemnification. To the extent permitted by law, each party (as indemnitor) agrees to indemnify, defend and hold harmless the other party (as indemnitee) from and against any claims, losses, liability, costs, or expenses (including reasonable attorneys’ fees) (hereinafter collectively referred to as claims) arising out of bodily injury of any person (including death) or property damage, but only to the extent that such claims which result in vicarious/derivative liability to the indemnitee, are caused by the act, omission, negligence, misconduct, or other fault of the indemnitor, its officers, officials, agents, employees, or volunteers. 3. Sponsor shall indemnify, defend and hold harmless the Town of Fountain Hills from all claims (whether valid or invalid), suits, judgments, proceedings, losses, damages, cost of expenses, of any nature whatsoever (including attorney’s fees) for which the Town of Fountain Hills or any of its affiliates may become liable by reason of the Town of Fountain Hills’s publication of sponsor’s trade content or logos. 4. Sponsor shall submit logo(s) in a high resolution vector file and jpg file a minimum of four months prior to the sponsored event. 5. Assignment. This agreement may not be assigned or transferred by client or agency. 6. Entire Agreement. This agreement constitutes the complete understanding of the parties and supersedes all prior agreements, understandings, negotiations and or arrangements between the parties and cannot be amended except in writing and signed by both parties. 7. Exhibit A. Attached exhibit is an integral and binding part of this agreement. 8. Event Cancellation. If the event must be canceled due to bad weather, the Town of Fountain Hills will notify the sponsor as soon as possible. It will be the sole discretion of the Town of Fountain Hills to cancel an event. 9. Set Up/Tear Down. The sponsor is required to adhere to the arrival, set-up and tear down times which are indicated in the sponsor packet for the event. The sponsor is responsible for any damage caused to Town property during the event, set-up and take down. It is the sponsor’s responsibility to clean their assigned area prior to leaving the event. 10. This agreement is not binding until properly signed and executed. Exhibit A Town of Fountain Hills Community Service Department The Town of Fountain Hills agrees to provide Optum the following benefits: Spooky Blast- Presenting Sponsor  Sponsor banner featured at the event  Sponsor recognition on Town website  Sponsor recognition in Email blasts  Sponsor recognition in the newspaper  Sponsor recognition on Event Brite  Social media recognition  Sponsor recognition at Town booth  Live MC announcements-Sponsor Recognition  Sponsor logo on photo booth pictures  Sponsor presenting costume contest Turkey Trot Platinum Sponsor  Sponsor logo on social media posts  On-Site booth space  Sponsor recognition on Event Brite  Booth display at early packet pick-up  Half-page ad in Digital Race Packet  Live MC announcement-sponsor recognition 6 complimentary 5k entries  Sponsor logo and link on the event website(s)  Sponsor logo on event digital ads Roll in the Glow-Presenting Sponsor  Sponsor name in event title Roll in the Glow presented by "Sponsor Name".  Sponsor recognition on social media  On-Site booth space  Sponsor logo on event banner  Sponsor recognition on Event Brite  Sponsor logo on event promotional materials  Sponsor logo and link on the event website  Sponsor logo on event digital ads Sponsor logo in newspaper ads Optum collectively agrees to provide the Town of Fountain Hills the following: Sponsorship Fee: $8,000 Agreement due date: June 30, 2022 Payment due date: August 1, 2022 Payment can be submitted by the check.
