SECOND AMENDMENT
TO
PROFESSIONAL SERVICES AGREEMENT
BETWEEN
THE TOWN OF FOUNTAIN HILLS
AND
SOLAR TRAFFIC CONTROLS, LLC
THIS SECOND AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT (this
“Second Amendment”) is entered into as of August 1, 2022, between the Town of Fountain Hills,
an Arizona municipal corporation (the “Town”) and Solar Traffic Controls, LLC, a(n) Arizona
limited liability company (the “Consultant”).
RECITALS
A. The Town and the Consultant entered into a Professional Services Agreement (the
“Agreement”), dated September 27, 2021, for the Consultant to provide street lighting equipment
and services (the “Services”). All capitalized terms not otherwise defined in this Second
Amendment have the same meanings as contained in the Agreement.
B. The Town and the Consultant desire to enter this Second Amendment to amend the
Agreement to incorporate Exhibit B into the Agreement.
AGREEMENT
NOW, THEREFORE, in consideration of the foregoing introduction and recitals, which
are incorporated herein by reference, the following mutual covenants and conditions, and other
good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged,
the Town and the Consultant hereby agree as follows:
1. Exhibit B as attached is hereby incorporated into the Agreement by this reference.
2. Effect of Amendment. In all other respects, the Agreement is affirmed and ratified
and, except as expressly modified herein, all terms and conditions of the Agreement shall remain
in full force and effect.
3. Non-Default. By executing this Second Amendment, the Consultant affirmatively
asserts that (i) the Town is not currently in default, nor has it been in default at any time prior to
this Second Amendment, under any of the terms or conditions of the Agreement and (ii) any and
all claims, known and unknown, relating to the Agreement and existing on or before the date of
this Second Amendment are forever waived.

4. Israel. Consultant certifies that it is not currently engaged in, and agrees for the
duration of this Agreement that it will not engage in a “boycott,” as that term is defined in Ariz.
Rev. Stat. § 35-393, of Israel.
5. Conflict of Interest. This Second Amendment and the Agreement may be cancelled
by the Town pursuant to Ariz. Rev. Stat. § 38-511.

Thanks for your call last week regarding the school flasher project for Fountain Hills which we presented in Quote#
0720221JW last week. In this quote we included the cost of powder coating some of the equipment to match the
town’s streetscape plan. However, the powder needed is currently unavailable from the manufacturer (Cardinal)
with no ETA available for the product. The powder coat shop that we work with for finishing ADOT A-poles for
projects has 10 lbs of powder which is probably enough to do the job. However, regardless of an exact match or a
very similar substitute that we used on another project for the town, lead-time for the powder process is 6-8 weeks at
this time. You have indicated that you understand the issues and are willing to accept all of your equipment with a
‘bare’ metal finish to meet the project deadline for 8/9/22 operation. In addition, you have agreed that the town will
provide the signs for the project and the 2.5”x 12’ square tube post for the advance diamond sign location. STC is
willing to front the town a post if needed to move the project forward. The town will replace any such items fronted
by STC within 30 days of project substantial completion.
Assuming that all of the design assumptions listed in Quote# 0720221JW remain the same, they are incorporated
into this revision by reference. The changes you have agreed to will impact pricing and part numbers as follows:

Pricing on non-MCDOT contract items is good for 15 days. Pricing is will call at our shop in Phoenix, AZ. If you
wish to pick up the units for installation by your crew or a JOC contractor we can pre-assemble them for you at our
shop in Phoenix. This aids in minimizing time for personnel and vehicles on site.
Pricing for pre-assembly of the poles and on-site engineering services for turn on and training on how to use the
systems, is as follows:

Please call if you have any questions on this offering. MCDOT non-contract items are good for 15 days. Contract
items are good until the contract is updated. Again, this quote is for equipment with no powder coat finish, all
traffic signs, and square post provided by the town.
