Subject
To help Experience Fountain Hills reach its tourism goals,Data Driven Marketers (DDM)
presents this January–June 2024 “Growth”digital marketing agreement.From January
1 (or as soon as this agreement is signed,whichever occurs first),through June 30,
2024,DDM will strategize and fulfill 80 hours of digital marketing work under the
direction of Amanda Jacobs at Experience Fountain Hills.DDM proposes services in the
following specialties to further the Town of Fountain Hills’tourism reach:
1.Account management

i.Available for your staff via email between 8:00 AM–4:00 PM MST
(Phoenix)Monday through Thursday,excluding holidays
ii.Available for your staff via phone call or vir tual call between 8:00
AM–4:00 PM MST (Phoenix)Monday through Thursday,excluding
holidays,with a minimum notice of four (4)hour
iii.Available for on-request in-person meetings between 10:00
AM–6:00 PM MST (Phoenix)Monday through Thursday,excluding

Hours are flexible on a monthly,quarterly,and per-scope basis and will be adjusted to
accommodate Experience Fountain Hills’requests and marketing needs based on data.
Our agreement includes regular collaboration and strategy meetings with Experience
Fountain Hills to learn about and market current happenings in the town.To ensure
we’re scoping our time appropriately for upcoming events,we require a minimum of two
(2)weeks'notice to advertise for specific events.
Purpose
Based on market data,Experience Fountain Hills’competition and goals,and results
from our “Launch”digital marketing agreement with Experience Fountain Hills in 2022,
we project steady increase in qualified website traffic and user actions (i.e.,clicking on
business listings,requesting directions,calling the tourism line,etc.)by executing this
agreement.Building highly accessible web pages,strategic web and blog content,
unique social media posts,and paid social ad campaigns will grow the Town of
Fountain Hills’out-of-state tourism traffic,in-state town recognition,event attendance,
attraction visits,and overall web activity.

Business Profile performance comparison report from October 1,2022 (after the
first Google Business Profile optimizations were implemented)–May 8,2023,
versus the previous period.Our partnership with Experience Fountain Hills drove

This Statement of Work (the “SOW”)is made by and between Data Driven Marketers LLC,
an Arizona limited liability company (“Contractor”),and Experience Fountain Hills
(“Client”)and is subject in all respects to the terms of the Master Services Agreement
(“MSA”).All terms specifically defined in the MSA shall have the same meaning when
used in this SOW.In the case of discrepancies between this SOW and the MSA,this SOW

Adjustments
DDM and Experience Fountain Hills may decide to

only adjustments that do not require written
approval are account management hours (DDM’s

Service terms
●Number of hours worked throughout the Growth engagement is not to exceed 80
hours between January 1–June 30,2024.Any and all estimated hours are a
maximum and not a minimum of guaranteed hours.
○The Scope of Work listed above describes the deliverables that we aim to
provide.DDM will adjust the Scope of Work as needed to support
Experience Fountain Hills.The Scope of Work and its adjustments do not
affect service terms.
○If additional hours are required,DDM will provide an estimate and move
forward with approved work (billed separately at $179.00–$300.00/hr).

●All outlines,content pieces,and optimizations that include brand messaging are
allotted one (1)round of revisions,not to exceed an additional hour of work or
what is specified in this Statement of Work (SOW).
Proposal agreement
During this project,the Contractor will customize the content and messaging and tailor
them specifically to the Client.The Client agrees to assist the Contractor in this project
by contributing creative input,giving honest feedback,and providing essential
information related to the Client’s website and important events.Contractor cannot
make guarantees of error-free content work and therefore welcomes feedback and will
gladly provide additional information if needed.

Client shall designate one individual,listed here as Amanda Jacobs,to serve as its
primary contact and final decision-maker with respect to this Agreement and to act as
its authorized representative with respect to matters pertaining to this Agreement (the
"Client Decision-Maker").The Client Decision-Maker shall respond promptly to any
reasonable requests from Contractor for instructions,information,or approvals required
by Contractor to provide the Services.Client shall provide Contractor with any and all
necessary login credentials,including but not limited to usernames and passwords,as
requested by Contractor.
Growth engagement duration
This agreement covers the period starting from January 1 (or as soon as this agreement
is signed,whichever occurs first)through June 30,2024 (or when all hours are fulfilled,
whichever occurs first).The expiration or termination of this Agreement shall not
extinguish any payment rights of DDM.
Schedule*
All timelines,schedules,and deliverables are estimates only.Contractor disclaims any
representations or warranties regarding the timelines,schedules,and deliverables and
shall not be held responsible for any delays or damages.
Payment schedule/rate
Data Driven Marketers will bill Experience Fountain Hills for the first month of payment
when this Agreement is signed (work will begin as soon as the first payment is
deposited).The following monthly invoices (February,March,April,May,and June

2024),will be shared on the first of each month (net 5 day terms).Alternatively,
Experience Fountain Hills can choose to pay this bill in one (1),two (2),or three (3)
payment installments during the duration of our agreement.The first payment
installment must be paid prior to beginning work.The second payment installment must
be paid by April 1,2024.
Data Driven Marketers reserves the right to hold back products/services as a result of
an unpaid balance.Failure to pay invoices by the specified due date are subject to a
1.5%late fee (applied at the end of the month).
Cancellation
The agreement between the Client and Contractor will adhere to the following standard
terms:During the engagement,either party may,by delivery of a 30-day written notice to
the other party,terminate the signed agreement.The termination of this agreement will
have no effect on the parties’respective obligations and Service terms during the
remainder of the 30-day notice;however,upon approval from the Client,the Contractor
may repurpose this time to provide exports of all work completed throughout this
engagement.The Client agrees to pay the Contractor the remaining costs from the
Agreement star t date to the last day of the 30-day termination notice,including time that
may have been fulfilled prior to the planned delivery date.
Acceptance criteria
Client shall have 10 business days from the date of delivery to accept or reject any
Services or Deliverables (the “Acceptance Time Period”).If Client approves the Services
or Deliverables within the Acceptance Time Period,Contractor shall have the right to
move forward with the project.If Client rejects the Services or Deliverables within the

Acceptance Time Period,Contractor shall provide one (1)round of revisions,at which
time the Services and Deliverables shall be deemed accepted,and Contractor shall have
the right to move forward with the project.If Client rejects the Services or Deliverables
within the Acceptance Time Period,Client shall have five (5)business days from the
date of original delivery to provide Contractor with specific and page-by-page revisions
and edits (the “Revision Time Period”).If Client fails to provide specific and
page-by-page revisions and edits within the Revision Time Period,the Services and
Deliverables shall be deemed accepted,and Contractor shall have the right to move
forward with the project as if Client had approved all Services and Deliverables.All
revisions shall be governed by the Acceptance Criteria as listed in this section.If Client
fails to either accept or reject the Services or Deliverables within the Acceptance Time
Period,the Services and Deliverables shall be deemed accepted,and Contractor shall
have the right to move forward with the project as if Client had approved all Services
and Deliverables.
Resources needed from the Client

●Administrative website access and temporary hosting/DNS access to Experience
Fountain Hills’website
●Ownership access to Experience Fountain Hills’Google Maps listings and Apple
Maps listings
●And any and all resources reasonably requested by Contractor
Assumptions
By signing this agreement,Experience Fountain Hills is assumed to have full ownership
over all brand resources,materials,and marketing assets.
