RESOLUTION 1998-61
A RESOLUTION OF THE MAYOR AND COMMON
COUNCIL OF THE TOWN OF FOUNTAIN HILLS,
ARIZONA,ORDERING AND DECLARING FORMATION
OF FOUNTAIN HILLS WATER COMPANY COMMUNITY
FACILITIES DISTRICT (TOWN OF FOUNTAIN HILLS,
ARIZONA).
BE IT RESOLVED BY THE MAYOR AND COUNCIL OF THE TOWN OF
FOUNTAIN HILLS,ARIZONA,as follows:
I.Findings.
a.Onadatepriortothedateoftheadoptionhereof,therewaspresentedto
us,the governing bodyofthe Town of Fountain Hills,Arizona,an incorporated townofthe
StateofArizona (hereinafter referred toasthe "Municipality"),aPetitionforAdoptionofa
Resolution Declaring Formation ofthe Fountain HillsWater Company Community Facilities
District (Town of Fountain Hills,Arizona),dated as of even date herewith (hereinafter referred
toasthe "Petition"),signed bythe entity (being the Municipality)which,onthe date hereof,is
the owner ofallreal property as shown onthe assessment rollforstateand county taxes for
Maricopa County,Arizona,or,if such person shown onsuch assessment rollisno longer the
owner of land inthe District,isthe entity which isthe successor owner which has become
knownandhasbeenverifiedby recorded deedor similar evidence of transfer of ownership to
betheownerofsuchreal property (hereinafter referred toasthe "Petitioner")described by
Exhibit "A"tobeinthe community facilities district,the formation of which is prayed forby
the Petitioner inthe Petition,pursuant to Title 48,Chapter 4,Article 6,Arizona Revised
Statutes,as amended (hereinafter referred toas the "Act").
b.The Petitioner has shown the following:
I.
Thenameofthe community facilities district ofwhich formation is prayed
pursuant tothe Petition istobe Fountain Hills Water Company Community Facilities District
(Town of Fountain Hills,Arizona)"(hereinafter referred toas the "District"),
II.
The District istobe formed,andshall exist,pursuant tothe terms and provisions
of the Act,

III.
The District isto contain anareaof approximately 1.25acresofland,moreor
less,whollywithinthecorporateboundariesoftheMunicipality,andistobecomposedofthe
landincludedintheparceldescribedinExhibit"A"hereto,whichismadeaparthereofforall
purposes (hereinafter referred toasthe "Property"),
IV.
TheDistrictistobeaspecialpurposedistrictfor purposes ofArticle DC,Section
19,ConstitutionofArizona,ataxlevyingpublicimprovementdistrictforthepurposesof
ArticleXIII,Section7,ConstitutionofArizona,andamunicipalcorporationforallpurposesof
Title 35,Chapter 3,Articles 3,3.1,3.2,4and5,Arizona Revised Statutes,as amended;is,
exceptasotherwiseprovidedintheAct,tobeconsideredamunicipalcorporationandpolitical
subdivisionoftheStateof Arizona separateandapartfromthe Municipality;andistobe
formedfor,andtohave,allthepurposesofa"district"assuchtermisdefined,andasprovided
in the Act,
TheFormationoftheDistrictmayresultinthelevyofadvaloremtaxestopay
costs of improvements constructed bythe District andfor their operation and maintenance.
VI.
A "General Plan for Community Facilities District"for the District has been
filedwiththeClerkofthe Municipality settingoutageneral description ofthe improvements
forwhichthe District is proposed tobe formed andthe general areastobe improved
(hereinafter referred toas the "General Plan"),and
VII.
Public convenience and necessity require the adoption of this Resolution.
c.The Petitioner further attested and declared that on the date hereof,as
shownonthe assessment rollforstateand county taxesin Maricopa,Arizona,all of thelandto
beinthe District is owned bythe Petitioner andthatthelandtobe included inthe district shall
be benefited fromthe improvements forwhichthe District is proposed tobe formed andthat
thereareno residents onthe land tobeinthe District,andbythis Resolution,asthe governing
body of the Petitioner,we hereby resolve thatthe foregoing istrueand correct inalland every
respect.
d.After showing the preceding,the Petitioner respectfully prayed thatthe
Petitionbeproperlyfiledas provided bylawandthat,asthe Petition issignedon behalf ofthe
owner of allthelandtobeinthe District,any requirements of posting,publication,mailing,
notice,hearingand election otherwise required bytheActin connection withtheadoptionof

thisResolutionarewaived,onreceiptofthepetition,wedeclaretheDistrictformedwithout
being required to comply with such provisions for posting,publication,mailing,notice,hearing
or election.
2.Matters Noticed bythe Municipality
a.ThePetitionerseeksformationoftheDistricttoexercisethepowersand
functions set forth in the Act.
b.The General PlanhasbeenfiledwiththeClerkofthe Municipality.
c.ThePetitionandallnecessarysupportingmaterialshavebeenfiledwith
us,andthe showings inthe Petition areeach noticed byusandare hereby incorporated atthis
placeasifsetforthhereatinwholeandasifmadebyus.
d.Thepurposesforwhich organization oftheDistrictissoughtareas
described inthe Petition andare purposes for which a district created pursuant totheAct may
be lawfully formed.
e.Thepublic convenience andnecessityrequireustoadoptthis
Resolution.
3.Approval of the General Plan.The General Plan as submitted herewith is
hereby approved inall respects.
4.GrantingofPetition;FormationofDistrict.ThePetitionisherebygranted,and
theDistrictisherebyformedasadistrictpursuanttothetermsandprovisionsof,andwiththe
powersandauthorityestablishedby,theAct,withjurisdictionoverthePropertyandthat,as
therearenoresidentsonthelandtobeintheDistrict,approvalofformationoftheDistrictby
anelection of resident electors isherebyfoundtobe unnecessary.
5.DistrictBoardandOfficers.TheDistrictshallbegovernedbya"District
Board"comprised ofthemembersofthe governing bodyoftheMunicipality,exofficio.The
MayoroftheMunicipalityshallbethe"ChairpersonoftheDistrictBoard",theViceMayorof
the Municipality shallbethe "Vice Chairperson of the District Board",theClerk of the
Municipalityshallbethe "District Clerk",the Treasurer oftheMunicipalityshallbethe
"DistrictTreasurer",theManagerofthe Municipality shallbethe "District Manager",andthe
Attorney of the Municipality shallbethe "District Counsel."
6.District Boundaries andMap.The District boundaries are described in Exhibit
"A"tothe Petition.Amap showing the District boundaries ishereby ordered tobedrawnand
provided bythe District Engineer.
7.Dissemination of this Resolution.The Petitioner shallcauseacopyofthis
ResolutiontobedeliveredtotheCounty Assessor andtheBoardofSupervisorsof Maricopa
County,Arizona,andtothe Department of Revenue of the State of Arizona.

8.No General Liability oforforthe Municipality.Neitherthe general fund ofthe
Municipality,northatoftheStateofArizonaoranypoliticalsubdivisionofeither(otherthan
theDistrict)shallbeliableforthepaymentorrepaymentofanyindebtednessoftheDistrict,
and neither thecreditnorthe taxing powerofthe Municipality,theStateof Arizona orany
politicalsubdivisionofeither(otherthantheDistrict)shallbepledgedtherefor.
