RESOLUTION NO.2003-40
A RESOLUTION OF THE MAYOR AND COUNCIL OF THE TOWN OF
FOUNTAIN HILLS,ARIZONA,APPROVING AN INTERGOVERNMENTAL
AGREEMENT WITH THE FORT MCDOWELL YAVAPAI NATION FOR
FUNDING TO PROMOTE TOURISM IN FOUNTAIN HILLS AND
SURROUNDING AREAS.
BE IT RESOLVED BY THE MAYOR AND COUNCIL OF THE TOWN OF
FOUNTAIN HILLS,ARIZONA,as follows:
SECTION 1.Thatthe Intergovernmental AgreementbetweentheTownofFountain
Hills (the 'Town")andtheFort McDowell Yavapai Nation for funding to promote tourism in the
Townandsurroundingareas(the"Agreement")isherebyapprovedintheformattachedhereto
asExhibitAandincorporatedhereinbyreference.
SECTION2.ThattheMayor,theTownManager,theTownClerkandtheTown
Attorney arehereby authorized anddirectedtotakeallsteps necessary tocausethe execution of
the Agreement.
PASSEDAND ADOPTED BY theMayorand Council oftheTownof Fountain Hills,

Intergovernmental Agreement
Between
The Town of Fountain Hills and the Fort McDowell Yavapai Nation
To
Provide Funds For Promoting Tourism inthe Town of Fountain Hills
And
Surrounding Communities
This Intergovernmental Agreement (this "Agreement")isenteredintobyand between theTown
of Fountain Hills,anArizona municipal corporation (the"Town")andtheFort McDowell
Yavapai Nation(the"Nation"),a Federally-Recognized IndianTribe,pursuantto Section 12
Payment of Regulatory Costs;Tribal Contributions ("Section 12")oftheFort McDowell
Yavapai NationandState of ArizonaGamingCompact2002(the"Compact")and A.R.S.§5-
601.02.
Recitals
A.TownandNationmayenterintoanagreementwithoneanotherforthedistributionof 12%
of the Nation's annual contribution under Section 12(b)(1)of the Compact tocities,towns,or
countiesthatbenefitthegeneralpublicorpromotecommerceandeconomicdevelopment
and pursuant to A.R.S.§5-601.02.
B.TheNationis authorized bySection 13(A)(15)of ArticleV,Legislative Branch,of the
Constitution of theFort McDowell Yavapai Nation to consult,negotiate,contract and
concludeandperform agreements withFederal,state,local governments andIndiantribes,as
wellasanyperson,association,partnership,corporation,governmentorotherprivateentity.
C.TheTownis authorized byA.R.S.§§5-601.02(1)and 11-952 to enter into agreements with
IndianTribesforthepurposeofacceptingdistributionstocities,townsorcountiesfor
governmentalservicesthatbenefitthegeneralpublic,includingpublicsafety,mitigationof
impactsofgaming,orpromotion of commerceandeconomicdevelopment.
D.Townand Nation desire to enter intothis Agreement to provide fundsforthe purpose of
promotingtourismintheState of ArizonaandspecificallytheTown of FountainHillsand
surroundingcommunities(the"Project").Anapprovedscope of workshallbeappended
heretoasExhibitA governing thetermsand conditions ontheuse of thesefunds.
E.Townand Nation desireto enter intothis Agreement todefinethe terms and conditions of
thisProject.
F.Thetotalcost of the Project is $50,000.00.

G.$50,000.00isherebymadeavailablefortheProjectfromrevenuegeneratedbythe Nation's
GamingEnterprisealsoknownastheFortMcDowellCasino.
H.TheNationintendsto provide $50,000.00(the "Funds"),which represents aportionofits
contribution pursuant toaTribalRevenueSharing Agreement authorized bySection12 of
theCompactandA.R.S.§5-601.02 tocompletetheProject.
I.TownandNationhaveagreedthattheTownshall complete theProjectaccordingtothe
termsand conditions setforth herein in addition toany supplemental agreements attached or
incorporatedbyreferenceinconsiderationoftheNationprovidingtheFunds.
J.TownandNationhaveagreedthatthisProjectshall commence ontheEffectiveDate of this
Agreement,asdefinedbelow,andshallbecompletedwithinone(1)yearaftersaiddate.
Agreement
NOW,THEREFORE,in consideration of theforegoingrecitals,whichareincorporatedherein,
andthe covenants and promises setforthbelow,the Nation andthe Town,hereby mutually agree
as follows:
1.Project.TheProject consists of theNation providing theFundstotheTowntoworkwith
the Fountain Hills Tourism Council to promote tourism inthe Town of Fountain Hillsand
surroundingarea.The Nation andtheTownherebyapprovethescope of workforthe
Project setting forththe activities,programs andusestobe covered bythe Funds (the "Scope
of Work"),attached hereto as Exhibit Aand incorporated herein by reference.
2.Town Project Design and Management Responsibilities.The Town shalldesignand
managethe Project pursuant tothe Scope of Work.
3.Amendments to Approval of Scope of Work.Afterthe Scope of Work hasbeen approved
aspart of this Agreement,itshallnotbeamended,modified,or changed without the Nation's
written consent.
4.Project Manager and Nation Representative.Town shall designate a Project Manager,
andthe Nation,atno cost totheTown,may designate a representative toliaisonwiththe
Project Manager during the performance of thisProject.
5.Financing;reporting.
A.NationDeposit.The Nation shall deposit withthe Town the amount of $50,000.00
within twenty (20)days of the Effective Date of this Agreement.
B.Reporting.Town shall submit a budget and report of expenditures alongwithany
narrativereport required according totheterms of this Agreement (i)sixmonthsafterthe
Effective Dateand(ii)within thirty (30)daysafter completion of this Project.
C.ProjectCostSavings.Townshallrefundanyamount of theFundsnotexpendedforthe
Project.

D.Use of Funds forPurposes Other Than toFulfill Agreement andScope of Work.Town
shallusetheFundsfortheexpresspurpose contained hereinandExhibitA.andis
prohibited fromusingfundstosupplantcurrentorfuturefundinglevels.Anyotheruse
ofaportionoralloftheFundsforapurposeotherthantofulfillthis Agreement and
Scope ofWorkshall constitute a material breach ofthis Agreement.Inthe event ofa
materialbreach,Townshallfurtherlosefuture consideration foraward of Section 12
Funds.
6.Inspection andAudit.To ensure compliance withthe Scope of Work,the Nation may
inspect anyandallrecords maintained bytheTownwithrespecttotheProjectuponseven
(7)days prior,written notice tothe Town.Duly authorized representatives ofthe Nation
mayperformaninspectionorconducta reasonable auditofbooksandrecords pertaining to
theProjectwhicharemaintainedbytheTowninorderfortheNationtosatisfyitselfthatthe
monies ontheProjecthavebeenspentandtheProjectcompletedin accordance withthis
Agreement.TownshallallowNation reasonable accesstotheProjectsiteand records
pertaining thereto.This Section 6 shall survive termination,cancellation,or revocation,
whether wholeorinpart,ofthisAgreementforaperiodofone(1)year following thedateof
such termination,cancellation,or revocation.
7.Term and Termination of Agreement.
A.Effective Date.ThisAgreementshallbeeffectiveonthedateitissignedbytheNation's
authorized representative.
B.Term.ThisAgreementshallcommenceupontheEffectiveDateandshallremaininfull
forceandeffectforaperiod of one(1)yearthereafter.TheTownshallhavecompleted
theScope of Workwiththisterm.
C.Termination.
i.ForCause.The Nation may terminate this Agreement formaterialbreach of the
AgreementbytheTown,asdescribedbelow.Priortoanyterminationunderthis
paragraph,theTownshallbegivenwrittennoticebytheNation of thenature of
theallegeddefault.Foranymaterialbreachotherthanmisuse of theFunds,the
Town shallhave twenty (20)daystocurethe default;the Town shallhaveten
(10)daystocurea default relatingto misuse of theFunds.The following shallbe
considered a material breach:
1.Persistent disregard of applicable laws,ordinances,orrulesand
regulations orpublicauthority having jurisdiction;
2.RefusingorfailingtoperformunderthisAgreementwithsuchdiligence
aswillensureitstimely completion withintheagreedupontime,orfailure
to complete theworkwithsuchtime;or
3.Use of theFundstoperformworkoutsidethe purpose of thisAgreement,
including the Scope of Work.

4.Failuretocomplywiththebudgetingand reporting requirements setforth
in Section 5 above.
5.Failuretocomplywiththeauditand inspection requirements setforthin
Section 6 above.
ii.For Convenience.TheNationmayterminatethis Agreement forconvenienceby
givingthirty(30)dayswrittennoticetotheTown.Suchterminationshallnot
relieveeitherpartyfromthoseliabilitiesorcostsalreadyincurredunderthis
Agreement.
8.Indemnification.
A.Indemnification.TheTownshallindemnify,defend,andholdharmlesstheNation,its
governingbody,officers,departments,employeesandagentsfromandagainstanyand
allsuits,actions,legalor administrative proceedings,claims,demands,liens,losses,fines
orpenalties,damages,liability,interest,attorney's,consultant's,andaccount'sfeesor
costsandexpenses of whatsoeverkindandnature,resultingfromorarisingoutofthe
negligenceorwillfulmisconduct of theTown,itsemployeesoragentsinperformingthe
dutiessetforthinthis Agreement.For other matters arising fromthe Town's
performance of thisAgreementandExhibitA,theTownagreestoholdharmlessthe
Nation,its governing body,officers,departments,employees andagents.
B.NoLiabilityforOther Party's DebtsandObligations.Neither partyshallbeliablefor
anydebts,accounts,obligations norotherliabilities whatsoever of theother,including
and without limitation the other party's obligation to withhold employment andincome
taxes for itself orany of its employees.
C.Severability.This Section 8shall survive termination,cancellation,or revocation,
whetherwholeorinpart,of thisAgreementforaperiod of one(1)yearfromthedate of
such termination,cancellation or revocation unless a timely claim isfiled under A.R.S.
§12-821.01,in which casethis Section 8shall remain in effect foreachclaimand/or
lawsuit filed thereafter,butinno event shall this Section 8 survive more than five(5)
yearsfromthedate of termination,cancellation or revocation of this Agreement.
9.Interpretation of Agreement.
A.Entire Agreement.ThisAgreementconstitutestheentireagreementbetweentheparties
pertainingtothe subject mattercontainedherein,andallprioror contemporaneous
agreements and understandings,oralor written,arehereby superceded andmerged
herein.
B.Amendment.This Agreement shallnotbe modified,amended,altered,or changed except
by written agreement signed byboth parties.
C.Construction and Interpretation.All provisions of this Agreement shallbe construed to
be consistent with the intention of the parties as expressed inthe recitals contained
herein.

D.Relationship of the Parties.Neither party shall be deemed to be an employee or agent of
theotherpartytothisAgreement.
E.Days.Days shall mean calendar days.
F.Severability.In the event that any provision of this Agreement or the application thereof
is declared invalid or void by statute or judicial decision,such action shall have no effect
on other provisions and their application which can be given effect without the invalid or
void provision or application,and to this extent the provisions of the Agreement are
severable.In the event that any provision of this Agreement is declared invalid or void,
the parties agree to meet promptly upon request of the other party in an attempt to reach
and agreement ona substitute provision.
10.Waiver.Waiver by either party of any breach ofa term,covenant,or condition contained
herein shall not be deemed a waiver of any other term,covenant,or condition,or any
subsequent breach of the same or any other term,covenant,or condition contained herein.
11.Force Majeure.Aparty shall not be in default under this Agreement if it does not fulfill any
of its obligations under this Agreement because it is prevented or delayed in doing so by
reason of uncontrollable forces."Uncontrollable forces"means any cause beyond the control
of the party affected,including but not limited to flood,earthquake,fire,epidemic,Acts of
God,or an order declaring a national emergency,which by exercise of due diligence and
foresight,such party could not reasonably have been expected to avoid.Either party
rendered'unable to fulfill any obligations by reason of uncontrollable forces shall exercise
due diligence to remove such inability with all reasonable dispatch.
12.Notification.Any notice or other communication required or permitted to be given under
this Agreement shall be in writing and shall be deemed to have been duly given if (i)
delivered to the party at the address set forth below,(ii)deposited in the U.S.Mail,registered
or certified,return receipt requested,to the address set forth below or (iii)given to a recog
nized and reputable overnight delivery service,to the address set forth below:

Mail,properlyaddressed,withsufficientpostageor(iii)thefollowingbusinessdayafter
beinggiventoarecognizedovernightdelivery service,withthepersongivingthenotice
payingallrequiredchargesand instructing thedeliveryservicetodeliveronthe following
businessday.Ifacopy of anoticeisalsogiventoaparty'scounselorotherrecipient,the
provisionsabovegoverningthedateonwhichanoticeisdeemedtohavebeenreceivedbya
partyshallmeanandrefertothedateonwhichtheparty,andnotitscounselorother
recipienttowhichacopy of thenoticemaybesent,isdeemedtohavereceivedthenotice.
13.Assignment andDelegation.Neitherpartyshallassignnordelegateanyofits rights,
interest,obligations,covenants,orperformanceunderthisAgreement.Anyterminationshall
notrelieveeitherpartyfromliabilitiesorcostsalreadyincurredunderthisAgreement.
14.Non-Waiver of Sovereign Immunity.NothinginthisAgreementorExhibitAshallbe
construedtowaivethe Sovereign Immunity of theNation.
IN WITNESS WHEREOF,The Town of Fountain Hills has caused this Intergovernmental
AgreementtobeexecutedbytheTownManager,uponresolution of theTownCounciland
attestedbytheClerk of theTown,andtheFortMcDowellYavapaiNationhascausedthis
IntergovernmentalAgreementtobeexecutedbythe Nation's TribalCouncilandattestedtoby
its Clerk.
This Agreement is effective upon signature of aduly appointed representative of theFort
McDowell Yavapai Nation.

Branch,as adopted October19,1999 and approved bythe U.S.Deputy Commissioner of Indian
Affairs November 12,1999.This acknowledgement shallnot constitute norbeconstruedasa
waiveroftheSovereignImmunityoftheFort McDowell YavapaiNation.

SCOPE OF WORK
If granted additional designated tourism funding from the Fort McDowell Yavapai Nation
through Proposition 202,the Town of Fountain Hills will be able to increase its advocacy for
regional tourism including the greater Fountain Hills area.The following list outlines examples
of programs thatwouldbefundedwithaProposition202grant:

TOTAL $50,000
FAM Trip:The largest budgeted program isthe familiarization trip (FAM trip),which will be
utilized to entertain and inform key media members,thus leading to editorial coverage in
regional,nationalandinternational publications.ThistripwillincludevisitstoFort McDowell.
This program may include contracting witha professional public relations firm,atleastona
project basis,tocoordinatetheFAMtripandissueregularreleasesandcultivatemedia
relationships withwriterswhosetargetmarketsincludewomen,golfandtravel.The Council is
utilizing the outline and proposal submitted last year before budget cuts.Some ofthe proposed
magazines include Sunset Magazine,Brides'Magazine and Travel &Leisure Magazine
Brochures and Collateral Material:Currently a4"x9",three-panel,four-color brochure
showcasing Fountain Hills asa destination is utilized.Headline reads:FountainHills-One
destination,many adventures -Experience it!Brochures are currently locatedin Fountain Hills
Chamber of Commerce,ScottsdaleCVBandmanyhotelsandbusinessesinFountainHills.This
material isalsousedasafulfillmentpieceformagazineadsandisdistributedinvariousvisitor
centersandhotel programs.
Quantity:25,000
StationaryPackage-Letterheadandenvelopes
Press Kit Covers-Printed and embossed presentation folders serveasourpresskit cover and
saleskitsforusewiththe media,travel writers,trade shows and similar venues.
Photo License:Licensing fees for images for photos of Fountain Hills used in advertising and
marketing materials.
AZ Tourism Alliance:Thetourismallianceisalobbyingandnetworkinggroupthatwas
originally started bythe Arizona Office of Tourism ("AOT")andspunoffasan independent
group of tourismprofessionalsthatareinvolvedinlegislativeissuesaffectingtourism.Itis
crucialthatwebeinvolvedtostaycurrentontourismindustryissuesandmaintainavoicein
Stateissues relating to our industry.

Airport Brochure Distribution Program:Sources for collateral materials include AOT,which
willfillracksthroughitsDowntownPhoenixOffice,ArizonaBiltmoreShoppingCenter,
Northern Arizona Visitor Center andata Visitor Center along the California/Arizona border.
Another distribution company willfillracksin Southern Arizona,Northern Arizona,Southern
California and Phoenix Sky Harbor Airport.
Scottsdale CVB:Partnering with theCVBin Scottsdale brings additional business totheareaas
Scottsdalepromotes Fountain Hillsasanextension of theirproductofferings.Thispartnership
alsoallowsany business in Fountain Hillsto join the Scottsdale CVBatnocharge.If this
partnershipdidnotexist,businesses inFountainHillswouldnotbeeligibletojoin.
AOTTradeShow:Scottsdale CVBandAOTattend major tradeshows throughout theUnited
States and will sell off an area in their booth where the Fountain Hills Tourism Council can
distribute their materials.
Additional Advertising:Additional advertising remains tobe decided andthisissueis scheduled
foradetailed discussion atthenext Tourism Council meeting scheduled forJuly23,2003,8:30
a.m.,atthe Fountain Hills Chamber of Commerce.Most likely,the monies willbeusedfor
magazine publication butthe marketing planneedstoremainflexible,aswewillbeusingthe
funds depending uponthe tourism marketplace.
Thetourismcouncilwill prepare a presentation andreportsforboththeFountainHillsTown
CouncilandtheFort McDowell YavapaiNation documenting themidwayresultsandthefinal
marketingplanincludingall expenditures anddetailingtheresults of the marketing program.
