AVENUE OF THE FOUNTAINS, FOUNTAIN HILLS, AZ Councilmembers of the Town of Fountain Hills will attend either in person or by telephone conference call; a quorum of the Town’s various Commission, Committee or Board members may be in attendance at the Council meeting. Notice is hereby given that pursuant to A.R.S. § 1-602.A.9, subject to certain specified statutory exceptions, parents have a right to consent before the State or any of its political subdivisions make a video or audio recording of a minor child. Meetings of the Town Council are audio and/or video recorded and, as a result, proceedings in which children are present may be subject to such recording. Parents, in order to exercise their rights may either file written consent with the Town Clerk to such recording, or take personal action to ensure that their child or children are not present when a recording may be made. If a child is present at the time a recording is made, the Town will assume that the rights afforded parents pursuant to A.R.S. § 1-602.A.9 have been waived. PROCEDURE FOR ADDRESSING THE COUNCIL Anyone wishing to speak before the Council must fill out a speaker’s card and submit it to the Town Clerk prior to Council discussion of that Agenda item. Speaker Cards are located in the Council Chamber Lobby and near the Clerk’s position on the dais. Speakers will be called in the order in which the speaker cards were received either by the Clerk or the Mayor. At that time, speakers should stand and approach the podium. Speakers are asked to state their name and whether or not they reside in Fountain Hills (do not provide a home address) prior to commenting and to direct their comments to the Presiding Officer and not to individual Councilmembers. Speakers’ statements should not be repetitive. If a speaker chooses not to speak when called, the speaker will be deemed to have waived his or her opportunity to speak on the matter. Speakers may not (i) reserve a portion of their time for a later time or (ii) transfer any portion of their time to another speaker. If there is a Public Hearing, please submit the speaker card to speak to that issue during the Public Hearing. Individual speakers will be allowed three contiguous minutes to address the Council. Time limits may be waived by (i) discretion of the Town Manager upon request by the speaker not less than 24 hours prior to a Meeting, (ii) consensus of the Council at Meeting or (iii) the Mayor either prior to or during a Meeting. Supporting documentation and staff reports furnished the Council with this agenda are available for review in the Clerk’s office. 2359554.1 Site Name: Town of Fountain Hills Business Unit #: 828549 SECOND AMENDMENT TO OPTION AND SITE LEASE AGREEMENT BETWEEN THE TOWN OF FOUNTAIN HILLS AND T-MOBILE WEST TOWER LLC THIS SECOND AMENDMENT TO OPTION AND SITE LEASE AGREEMENT (this “Second Amendment”) is effective as of April 16, 2015, by and between the Town of Fountain Hills, an Arizona municipal corporation (the “Town” or “Lessor”), and T-Mobile West Tower LLC, a Delaware limited liability company, by and through CCTMO LLC, a Delaware limited liability company, its attorney in fact (“Lessee”). Unless otherwise defined herein, all capitalized terms in this Second Amendment shall have the meanings set forth in the Agreement (defined below). RECITALS A. The Town and Western PCS III Corporation (“Original Lessee”) entered into an Option and Site Lease Agreement dated December 4, 1998 (the “Initial Agreement”), whereby Lessor leased to Original Lessee certain real property, together with access and utility easements (the “Premises”), all located within certain real property owned by Lessor at or about 17230 East Shea Boulevard, Fountain Hills, Arizona (the “Property”), for the purpose of occupying, installing, operating and maintaining a Communications Facility. B. The Initial Agreement contained an option for Original Lessee to lease the Property within the first 18 months of the Date of the Initial Agreement, which could be extended an additional six months upon written notification and the payment of a fee. The Lease Term would be five years, with two five-year Renewal Terms. C. On or about April 23, 2009, T-Mobile West Corporation, as successor-in-interest to VoiceStream PCS III Corporation, successor-in-interest to Original Lessee, gave Lessor notice of its intent to renew the Initial Agreement for the final five-year Term, commencing on June 10, 2009. D. On or about November 30, 2012, CCTMO LLC acquired exclusive rights to manage and operate Lessee’s Communications Facility on the Premises on behalf of Lessee. The Town issued its written consent on January 31, 2013. E. The Initial Agreement was amended on June 10, 2014 (the “First Amendment”), to (i) extend the term of the Agreement and (ii) increase the monthly rent paid by Lessee to Lessor under the Initial Agreement. The Initial Agreement and the First Amendment are collectively referred to herein as the “Agreement.” F. Lessor and Lessee desire to enter into this Second Amendment to extend the term of the Agreement. 2359554.1 Site Name: Town of Fountain Hills Business Unit #: 828549 2 AGREEMENT NOW, THEREFORE, in consideration of the foregoing recitals, which are hereby incorporated by reference, the promises and covenants set forth herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Lessor and Lessee hereby agree as follows: 1. Term. The term of the Agreement is hereby extended until December 31, 2015. 2. Non-Default. By executing this Second Amendment, Lessor and Lessee affirmatively assert that that (i) Lessor and Lessee are not currently in default, nor have been in default at any time prior to this Second Amendment, under any of the terms or conditions of the Agreement and (ii) any and all claims, known and unknown, relating to the Agreement and existing on or before the date of this Second Amendment are forever waived. 3. Conflict of Interest. This Second Amendment may be canceled pursuant to ARIZ. REV. STAT. § 38-511. 4. Effect of Amendment. In all other respects, the Agreement is affirmed and ratified and, except as expressly modified herein, all terms and conditions of the Agreement shall remain in full force and effect. In the event of any conflict or inconsistency between the terms of this Second Amendment and the Agreement, the terms of this Second Amendment shall control. This Second Amendment may be executed simultaneously or in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same agreement. Notary Public (Affix notary seal here) Issue 12 - April 3, 2015 Legislative Overview With a flurry of conference committees and floor activity the legislature made its final push this week towards sine die, and formally adjourned on April 3rd. There was an unprecedented move by the Senate, who concluded their business unilaterally while the House still had many more bills to consider. Several measures that needed Senate action therefore perished, including SB 1291: firearms; state preemption; penalties and SB 1419: liquor licenses; stores; proximity exemption. Many bills are however awaiting the governor's action. After the session is over Governor Ducey has 10 days to sign, veto or let bills become law without his signature. Most signed bills will become law on the general effective date of July 3, 2015. The League will publish its New Laws Report within the next few weeks. There you will find all of the bills that affect cities and towns, with summaries, effective dates and links to the actual bill language. In the meantime feel free to contact us for clarification on pertinent legislative matters. Firearms in Public Buildings On Monday HB 2320: firearms; permit holders; public places, sponsored by Rep. Brenda Barton (R-Payson) failed in Committee of the Whole on a roll call vote of 14-15. This measure would have cost the state, cities and counties millions of dollars if those public entities chose to refuse access to their buildings to those people who carry a firearm and have a concealed weapon permit. The League is grateful to those legislators who sided with us. Pawnbroker Transactions HB 2419: prohibited transaction fees; municipalities failed to pass the Senate Third Read this Thursday even after being reconsidered. Sponsored by Rep. David Stevens (R-Sierra Vista) the bill would have prohibited cities and towns from charging a transaction fee at pawn shops. This fee is used for law enforcement activity related to tracking stolen goods. We are appreciative of the senators that voted against this anti-public safety bill. Please disregard the similar file you received from me in March. Although we thought this matter had been settled by the amendment included in SB1216, the Senate had a different idea. They added a separate assessment on the Maricopa Association of Governments (MAG) and the Pima Association of Governments (PAG) for their share of DOR’s total operations. This amendment also changed the analyzed period from the last two fiscal years to just FY14 only; and it clearly identifies the specific County tax statutes to include in the base. The combination of all these changes resulted in the Cities total share rising by roughly $208,000. The first sheet shows the calculation of the split between cities/towns, counties, MAG and PAG as a whole. The second sheet shows the allocation to each of the cities and towns (and each of the counties) based on their respective 2010 Census population numbers. The City/Town total share is based on revenues collected on behalf of cities and towns by DOR during FY14 from: State Shared TPT (A.R.S. 42-5029); direct Program city/town TPT (42-6001); and Urban Revenue Sharing (43-206). The County share is based on revenues collected on behalf of counties by DOR during FY14 from: State Shared TPT (A.R.S. 42-5029); and all of the direct county TPT imposed under the stated A.R.S. sections (42-6103, 42-6107, 42-6108, 42-6108.01, 42-6109, 42-6109.01, 42- 6110, 42-6111, 42-6112). The MAG share is based on revenues collected on behalf of MAG by DOR during FY14 from direct TPT (42-6105 – this is the 0.50% TPT in Maricopa County). The PAG share is based on revenues collected on behalf of PAG by DOR during FY14 from direct TPT (42-6106 – this is the 0.50% TPT in Pima County). The denominator is the combination of these four revenue totals. Using this method, Cities are responsible for 52.58% of the total $20,755,835 transfer, or $10,912,910. Counties are responsible for 32.52% of the total, or $6,749,322. MAG is responsible for 12.44% of the total, or $2,582,400. PAG is responsible for 2.46% of the total, or $511,203. These fees for DOR services provided to Local Governments are considered an ongoing annual budget item. I have also calculated the one-time fee that will be charged to the self-collecting cities for DOR’s tax system improvements, and the total anticipated billing from the Department for the 2016 Fiscal Year. The amount indicated will be billed by DOR not later than July 31, 2015 and is due not later than September 30, 2015. If the billing calculations performed by the Department provide a different result, the Department’s billing is controlling. Remember that if any amount is not paid to DOR by September 30, the Treasurer will be instructed to deduct the balance due from the next regularly scheduled payment of State Shared TPT. We obtained the total dollar fi gures on which these early estimates are based from the Arizona Department of Transportation (ADOT) and the Arizona Department of Revenue (DOR). Subject to changes in these estimates and the governor’s budget, there may be a fi nal report sent out in early May. Population Figures for Shared Revenue Estimates As directed by statute, the population used in distribution of state shared revenue for July 1, 2015 is the fi gure from the 2010 Census except for the Urban Revenue Sharing (State Shared Income Tax). Changes can only be made to these numbers in the case of an annexation that has been certifi ed by the Census Bureau. For distribution of Urban Revenue Sharing, those cities and towns with populations fewer than 1,500 are automatically assumed to have 1,500 in population. The total population fi gures are as follows: 2010 Designated Population (TPT/HURF/VLT) – pop. for cities/towns ......................5,024,437 2010 Designated Population (URS) – pop. for cities/towns ........................................5,030,191 Shared Revenue Estimates The tables found within this report list the distribution of revenue from the vehicle license tax (VLT), highway user revenue fund (HURF) and the state sales and income taxes. Vehicle License Tax (VLT) –Vehicle License Tax monies are approximately 9.4% higher compared with last year’s estimates. Highway User Revenue Fund (HURF) (UPDATE) – The HURF estimate provided by the Arizona Department of Transportation is 4.5% higher than last year’s estimate. (The highway user revenue estimate does not include the 3 percent monies reserved for cities with populations over 300,000.) State Sales Tax - The estimate for state shared sales tax is approximately 5.7% higher than the estimated amount contained in this report from last year. This fund may be subject to revision later in the year - we will send out revised estimates if we get any additional information. State Income Tax - The estimate for state income tax is actually .5% percent lower than last year’s estimate. (This is the only one of the shared revenues that can be accurately forecast since it is based on collections from two years ago.)
