Home My WebLink AboutC2023-013 - Roof King HS3 General Contracting & The Roof King SPONSORSHIP AGREEMENT The Town of Fountain Hills Community Service Department respectfully submits this sponsor agreement for your support of the following events: Event Name Sponsor Level Event Location Event Date(s) Fourth at the Fountain Red Fountain Park July 1, 2022 Back to School Bash Platinum Four Peaks Park August 19, 2022 Spooky Blast Platinum Four Peaks Park October 29, 2022 Roll in the Glow Platinum Avenue of the Fountains December 3, 2022 The term of this sponsorship agreement by and between the Town of Fountain Hills and Sponsor HS3 General Contracting & The Roof King is effective July 1, 2022-June 30, 2023 1. Term. The term of this agreement is as stated above. All changes must be in writing and signed by each party. 2. Indemnification. To the extent permitted by law, each party (as indemnitor) agrees to indemnify, defend and hold harmless the other party (as indemnitee) from and against any claims, losses, liability, costs, or expenses (including reasonable attorneys’ fees) (hereinafter collectively referred to as claims) arising out of bodily injury of any person (including death) or property damage, but only to the extent that such claims which result in vicarious/derivative liability to the indemnitee, are caused by the act, omission, negligence, misconduct, or other fault of the indemnitor, its officers, officials, agents, employees, or volunteers. 3. Sponsor shall indemnify, defend and hold harmless the Town of Fountain Hills from all claims (whether valid or invalid), suits, judgments, proceedings, losses, damages, cost of expenses, of any nature whatsoever (including attorney’s fees) for which the Town of Fountain Hills or any of its affiliates may become liable by reason of the Town of Fountain Hills’s publication of sponsor’s trade content or logos. 4. Sponsor shall submit logo(s) in a high resolution vector file and jpg file a minimum of four months prior to the sponsored event. 5. Assignment. This agreement may not be assigned or transferred by client or agency. 6. Entire Agreement. This agreement constitutes the complete understanding of the parties and supersedes all prior agreements, understandings, negotiations and or arrangements between the parties and cannot be amended except in writing and signed by both parties. 7. Exhibit A. Attached exhibit is an integral and binding part of this agreement. 8. Event Cancellation. If the event must be canceled due to bad weather, the Town of Fountain Hills will notify the sponsor as soon as possible. It will be the sole discretion of the Town of Fountain Hills to cancel an event. 9. Set Up/Tear Down. The sponsor is required to adhere to the arrival, set-up and tear down times which are indicated in the sponsor packet for the event. The sponsor is responsible for any damage caused to Town property during the event, set-up and take down. It is the sponsor’s responsibility to clean their assigned area prior to leaving the event. 10. This agreement is not binding until properly signed and executed. Exhibit A Town of Fountain Hills Community Service Department The Town of Fountain Hills agrees to provide HS3 General Contracting & The Roof King following benefits to as a sponsor for the following events: Fourth at the Fountain-RED • Recognition in pre-event social media • Recognition in Fountain Hills Times • Sponsor logo on the tourism website • Live MC sponsor recognition announcements Back to School Bash-Platinum • Sponsor recognition on Town website • Sponsor recognition in Email blasts Social media recognition • Sponsor recognition at Town booth • Live MC announcements-Sponsor Recognition Spooky Blast-Platinum • Sponsor recognition on Town website • Sponsor recognition in Email blasts • Social media recognition • Live MC announcements-Sponsor Recognition Roll in the Glow-Platinum • Sponsor recognition on social media On-Site booth space • Sponsor logo on event banner • Sponsor logo on event promotional materials • Sponsor logo and link on the event website • Sponsor logo on event digital ads • Sponsor logo in newspaper ads The HS3 General Contracting & The Roof King collectively agrees to provide the Town of Fountain Hills the following: Sponsorship Fee: $5,000 Agreement due date: July 5, 2022 Payment due date: July 14, 2022 Payment can be submitted by the check.
