A RESOLUTION OF THE MAYOR AND COUNCIL OF THE TOWN OF
FOUNTAIN HILLS, ARIZONA, AUTHORIZING AN AMENDMENT TO THE
INTERGOVERNMENTAL AGREEMENT WITH THE REGIONAL PUBLIC
TRANSPORTATION AUTHORITY FOR BUS TRANSIT SERVICE.
BE IT RESOLVED BY THE MAYOR AND COUNCIL OF THE TOWN OF
FOUNTAIN HILLS as follows:
SECTION 1. That an amendment (the "Amendment") to the Intergovernmental
Agreement between the Town of Fountain Hills and the Regional Public Transportation
Authority for bus transit service is hereby approved in the form attached hereto as Exhibit A and
incorporated herein by reference.
SECTION 2. That the Mayor, the Town Manager, the Town Clerk and the Town
Attorney are hereby authorized and directed to take all steps necessary to cause the execution of
the Amendment.
PASSED AND ADOPTED BY the Mayor and Council of the Town of Fountain Hills,
Arizona, April 6, 2006.

INTERGOVERNMENTAL
AGREEMENT AMENDMENT
Contract#124-31-2006
As of the 1st day of July, 2005, this amends the following items of the Transit Service Agreement
entered into between the Town of Fountain Hills and the RPTA, dated the 1st day of July, 2002, as
amended July 1, 2003 and July 1, 2004.
The following sections replace and supersede those sections of the agreement entered into July 1,2002
as amended July 1, 2003 and July 1,2004:
SECTION 4: CITY RESPONSIBILITY
4.6 The City is responsible for making payment on or before July 1st for the new fiscal
year, corresponding to the amendment for the new fiscal year. In the event that
there is a disagreement with the new proposed rate, the City is responsible for
making payment at the old rate (the previous year's rate) until such time that the
disagreement can be resolved.
The attached Schedule B replaces and supercedes Schedule B entered into July 1, 2004.

INTERGOVERNMENTAL AGREEMENT DETERMINATION
In accordance with the requirements of A.R.S. Section 11-952(D),each of the undersigned attorneys
acknowledge that: (1)they have reviewed the above Agreement on behalf of their respective clients;
and, (2) as to their respective clients only, each attorney has determined that this Agreement is in
prope rm and is within the powers and authority granted under the laws of the State of Arizona.

Schedule B
For the period July 1,2005 to January 31,2006 it is estimated that the Town of Fountain Hills will pay
the Regional Public Transportation Authority$2,706.00 for bus service on Route 512 in Fountain Hills.
Payments made by the TOWN to RPTA for operation of Bus Routes depicted in Schedule B shall
consist of seven(7)monthly installments of$386.57 and shall be become due within thirty(30)days of
receiving an invoice from the RPTA.
