A RESOLUTION OF THE MAYOR AND COUNCIL OF THE TOWN OF
FOUNTAIN HILLS, ARIZONA, APPROVING AN AMENDMENT TO THE
INTERGOVERNMENTAL AGREEMENT WITH MARICOPA COUNTY FOR
SPECIAL TRANSPORTATION SERVICES.
BE IT RESOLVED BY THE MAYOR AND COUNCIL OF THE TOWN OF
FOUNTAIN HILLS as follows:
SECTION 1. That the Second Amendment to the Intergovernmental Agreement to the
Intergovernmental Agreement between the Town of Fountain Hills and Maricopa County
relating to funding for special transportation services for senior citizens and handicapped
individuals (the "Second Amendment") is hereby approved in the form attached hereto as
Exhibit A and incorporated herein by reference.
SECTION 2. That the Mayor, the Town Manager, the Town Clerk and the Town
Attorney arc hereby authorized and directed to cause the execution of the Second Amendment
and to take all steps necessary to carry out the purpose and intent of this Resolution.
PASSED AND ADOPTED by the Mayor and Council of the Town of Fountain Hills,
Arizona, April 2, 2009.

AND ATTACHMENT B
THIS AMENDMENT No. 3 is entered into effective as of the 151 day of July, 2008, by
and between the TOWN OF FOUNTAIN HILLS, located at 16705 E. Avenue of the
Fountains, Fountain Hills, AZ 85268, administered by its Deputy Town Managers Office
(hereinafter referred to as "Town ") and Maricopa County, administered by its Human
Services Department, (hereinafter referred to as "Contractor"), with offices located at
234 North Central Avenue, Phoenix, Arizona 85004. ( "Town" and "Contractor" are
referred to herein individually as "Party" and collectively as the "Parties ") .
WHEREAS, Town and Contractor are Parties to Contract No. C- 22 -08- 009 -3 -00,
dated effective as of the 1st day of July 2007 (the "Original Contract "); and
WHEREAS, the Parties desire to make mutually agreed upon changes to the Original
Contract by replacing Section III and adding Attachment B to the Original Contract; and
NOW THEREFORE, in consideration of the above premises and respective covenants
and agreements hereinafter set forth, the Parties agree to amend the Original Contract
as follows:
III. PAYMENT
It is expressly agreed and understood that the total amount paid by the TOWN
under this Agreement shall not exceed $150,000 at the per trip rate as detailed in
the Trip Rate Schedule attached hereto as Attachment B. The CONTRACTOR will
only submit a claim(s) for those trips that are provided, or for any trip that results in
a no show /cancellation at the designated point of pick up.

TRIP RATE SCHEDULE
Trips will be billed according to the one -way "Direct Distance Mileage" as calculated by
Maricopa County's Special Transportation Services' Trapeze software program. All trip
distances will be rounded to the nearest whole mile.
Trip Rates:
0 -5 Miles Total Distance - $22.68
6 -10 Miles Total Distance - $25.21
11 -15 Miles Total Distance - $27.79
16 -20 Miles Total Distance - $29.64
21-49 Miles Total Distance - $45.96
50 -60 Miles Total Distance - $51.06
