PERFORMANCE AGREEMENT
THIS PERFORMANCE AGREEMENT (this "Agreement") is entered into as of 5 /25/22. between the TO\m of Fountain Hills, an
Arizon11 municipal corporation (the "To,m''), and the Contractor defined in Section I below. ,,ho will perform the Services
defined in Section 2 below.

2.Description of performance/c\·ent (the "Sen-ices"):
THIS CONTRACT for the personal services of entertainers on the engagement described below, between the undersigned 11nd
Steve Gmsz d/b/a FX Entertainment is made on .fiL!L11_.
•Coordinate and perform DJ/Emcee services at small community events.
•Work with Town staff to determine appropriate music and playlist prior to each event.
•Arrive 30 minutes prior to the start of each event.
•Provide all DJ related equipment to perform services
•Act as event emcee to make announcements and recognize sponsors using script provided by Town
This contract, and the terms and conditions contained herein, may be enforced by the Purchaser, and its agents, 11nd by each
entertainer who is npnrty to this contract or whose name appears on the contract or who has, in fact, performed the engagement
contracted for (herein called "participating entertainer (s)") and by the ngcnt or agent(s) of each participating entertainer.

Payment shall be made upon completion of the Services (To\m may pay for services of vendor before theperformnnce
in order to allow for payment to subcontractors/musicians).
•To\\11 Policy: Invoices must be received by accounts payable at least IO days before payment dote. Check runs an:

6.Cnncellntion: In 11ddition to the cancellation provisions contained in the To\\11's Standard Terms and Conditions
referenced below, this Agreement may be cnncellcd by either party in writing to the other party if performance under this
Agreement is prevented by reason of force mnjeure. Force majeurc includes nets of Go d, nets of the public enemy. war, riots,
strikes, mobilization, labor disputes, civil disorders; fire, floods; lockouts, injunctions-intervention-nets, failures or
refusals to act by government authority, physical injury or an occurrence that is beyond the control of the party 111Tcctcd
and occurs without its fault or negligence ... This cancellation policy excludes weather. Any event beyond the To,\11's
control \\hich results in cancellation of the Performance/Event shall result in the vendor being nnid only for time in
planning/logistics and shall be invoiced clearly showing such in an itemized invoice.
